Team Name Submission Contest — Terms, Release, and Privacy Notice

  1. Sponsor

The Team Name Submission Contest is sponsored by USHL Team in Prescott Valley Arizona. (“Team,” “Sponsor,” “we,” “us,” or “our”).

  1. No Purchase Necessary

No purchase, payment, donation, or other consideration is required to submit a proposed team name or to be considered. A purchase will not improve any participant’s chances of selection.

  1. Eligibility

The contest is open to members of the local fan base and other eligible participants who submit a proposed name in accordance with these Terms.

Participants under the age of 18 must have the consent of a parent or legal guardian to participate. By submitting an entry on behalf of a minor, or by allowing a minor to submit an entry, the parent or legal guardian agrees to these Terms on behalf of the minor and accepts full responsibility for the minor’s participation.

Participants under the age of 13 may only participate with verifiable parent or legal guardian consent if the submission is collected online or if personal information is collected from the minor.

The Team may reject, remove, or disqualify any submission for any reason, including submissions that are offensive, inappropriate, infringing, confusingly similar to another team, brand, business, or trademark, or otherwise unsuitable for use by the Team.

  1. Submission Requirements

Each participant may submit one or more proposed team names, slogans, explanations, or related ideas, subject to any limits posted by the Team.

All submissions must be original to the participant and must not knowingly copy, infringe, or violate the intellectual property, publicity, privacy, or other rights of any person, organization, team, league, or business.

Participants should not submit confidential, proprietary, or sensitive personal information as part of their entry.

If a name is submitted by multiple different groups and is the successful name chosen, the participant that submitted the team name first will be the winner of the contest.

  1. Ownership and Use of Submissions

By submitting a proposed team name or related suggestion, each participant irrevocably grants to the Team, its owners, affiliates, successors, assigns, league partners, sponsors, broadcasters, licensees, and designees a perpetual, worldwide, royalty-free, fully paid-up, transferable, sublicensable, unrestricted right and license to use, modify, adapt, combine, publish, display, reproduce, trademark, register, protect, commercialize, and otherwise exploit the submission, in whole or in part, for any purpose, in any media now known or later developed.

This includes, without limitation, the right to use the submitted name or suggestion as the Team’s official team name, alternate name, nickname, branding, logo concept, merchandise name, promotional theme, marketing campaign, digital asset, social media content, domain name, or any other commercial or non-commercial use.

The Team is not required to select, use, credit, compensate, notify, or obtain further approval from any participant before using any submitted name or suggestion.

If the successful team name is submitted by more than one person or group, the eligible entrant whose submission was received first will be deemed the contest winner.

  1. No Compensation or Further Rights

Each participant understands and agrees that submission of a name or suggestion does not create any right to compensation, royalties, ownership, approval, attribution, employment, partnership, sponsorship, or other benefit.

If the Team uses a submitted name or any similar name, the participant agrees that the Team will owe no payment, royalty, prize, fee, licensing amount, or other compensation unless the Team separately announces a specific prize in writing.

Participants further understand that multiple people may submit the same or similar names, and that the Team may already have considered, developed, received, or used the same or similar ideas independently.

  1. Release and Waiver of Claims

By submitting an entry, each participant, and if applicable the participant’s parent or legal guardian, fully and forever releases, waives, and discharges the Team, its owners, governors, officers, directors, employees, agents, affiliates, successors, assigns, sponsors, league partners, vendors, and licensees from any and all claims, demands, causes of action, damages, liabilities, costs, and expenses arising out of or related to:

the submission or use of any proposed team name, slogan, concept, or suggestion;

the Team’s adoption, registration, trademarking, commercialization, or promotion of any name that is identical or similar to a submitted name;

any claim for compensation, royalties, credit, ownership, authorship, approval, or control;

any alleged infringement, misappropriation, idea theft, unfair competition, or similar claim relating to the submission; and

participation in the contest or any related promotion.

Each participant agrees not to sue, threaten legal action, demand payment, interfere with the Team’s use of a selected or similar name, or make any claim inconsistent with the rights granted in these Terms.

  1. Participant Representations

By submitting an entry, each participant represents and warrants that:

they have the right to submit the proposed name or suggestion;

the submission is original to them or they otherwise have the right to provide it;

the submission does not knowingly infringe another person’s or entity’s rights;

the submission does not contain unlawful, defamatory, obscene, hateful, discriminatory, or threatening content; and

they have read and agree to these Terms.

For a minor participant, the parent or legal guardian makes these representations on behalf of the minor.

  1. Publicity Release

Except where prohibited by law, by submitting an entry, each participant grants the Team permission to use the participant’s name, city, state, likeness, voice, image, social media handle, submission, and general biographical information for promotional, advertising, public relations, and marketing purposes related to the contest or the Team, without additional compensation or approval.

For participants under 18, this publicity release applies only with parent or legal guardian consent.

  1. Privacy Notice

The Team may collect personal information submitted in connection with the contest, including name, email address, phone number, city, state, age or date-of-birth confirmation, parent or guardian name and contact information when applicable, and the participant’s submitted team name or related explanation.

The Team may use this information to:

administer the contest;

review and evaluate submissions;

contact participants or parents/legal guardians;

verify eligibility and consent;

announce or promote the contest;

protect the Team’s legal rights;

comply with applicable laws; and

communicate with participants about the Team, where permitted by law.

The Team may share personal information with service providers, legal advisors, league partners, affiliates, sponsors, or vendors as reasonably necessary to operate the contest, administer submissions, comply with law, or protect the Team’s rights.

The Team will not knowingly sell personal information collected from contest participants. The Team will use reasonable administrative, technical, and physical safeguards designed to protect the information collected.

Personal information may be retained for as long as reasonably necessary for contest administration, legal compliance, recordkeeping, dispute resolution, intellectual property protection, and business purposes.

For minors, a parent or legal guardian may contact the Team at the submitted information to request review, correction, or deletion of the minor’s personal information, subject to applicable legal and operational retention requirements.

  1. Parent or Guardian Consent for Minors

For any participant under 18, the parent or legal guardian must agree as follows:

I am the parent or legal guardian of the minor participant. I have reviewed and agree to these Terms on behalf of myself and the minor. I consent to the minor’s participation in the contest and to the Team’s collection and use of the minor’s submission and personal information as described in these Terms. I grant all rights, releases, waivers, licenses, and permissions described in these Terms on behalf of myself and the minor. I agree that the Team may use the minor’s submitted name or suggestion in perpetuity without compensation, approval, or further consent.

  1. Selection of Name

The Team may, in its sole discretion, select any submitted name, select a modified version of a submitted name, combine multiple submissions, use a name developed independently, or decide not to use any submitted name.

The Team’s decisions are final and binding in all matters relating to the contest.

  1. Trademarks and League Approval

Any selected name remains subject to availability, legal clearance, trademark review, domain and social media availability, league approval, and any other approvals required by the Team.

Submitting a name does not guarantee that the name will be selected, used, registered, or publicly announced.

  1. Disqualification

The Team may disqualify any participant or submission that violates these Terms, contains false information, infringes another party’s rights, uses automated or fraudulent submission methods, or is otherwise inconsistent with the spirit of the contest.

  1. Limitation of Liability

To the fullest extent permitted by law, the Team and its released parties are not responsible for lost, late, incomplete, misdirected, corrupted, inaccessible, or unsuccessful submissions; technical failures; unauthorized access; human error; or any damages arising from participation in the contest or use of any submission.

  1. Governing Law and Venue

These Terms and the contest are governed by the laws of the State of Arizona, without regard to conflict-of-law principles.

Any dispute arising out of or relating to the contest, these Terms, or any submission shall be brought exclusively in the state or federal courts located in Arizona, and each participant consents to the jurisdiction and venue of those courts.

  1. Acceptance of Terms

By submitting a proposed team name or related suggestion, each participant confirms that they have read, understood, and agreed to these Terms. For participants under 18, the parent or legal guardian confirms acceptance on behalf of the minor.
